Fair Usage Terms

1. Application

These Fair Usage Terms apply to Customer’s and End Users’ use of any Service and prevail over the terms of the Agreement to the extent of any inconsistency. All defined terms in this Agreement apply to these Fair Usage Terms. By using the Service, Customer and End Users agree to adhere to these Fair Usage Terms.

2. Fair Usage Requirements

2.1 Customer and End Users must use the Service lawfully, ethically and in a manner that aligns with Licensor’s guidelines, specifications, policies and these Fair Usage Terms.

2.2 Customer’s and End Users’ use of the Service must respect the confidentiality, integrity and/or security of the Service, other users, and third parties.

2.3 Customers’ and End Users’ use of the Service must not unreasonably exceed (as solely determined by Licensor, such determination to be final) Licensor’s Service utilisation assumptions (Assumptions). The Assumptions for each Service are outlined below:

(a) Akumen Service Assumptions:

  • 150,000 requests for execution per month.

  • Average maximum usage of 15% of an Akumen node per month.

(b) idoba.sim Service Assumptions:

  • Typical usage pattern: 20 days utilisation per month, with a single-shift (12 hour) duration per run.

  • Compute expectation: 200 minutes of compute time day.

  • Agent configuration: 20 agents per scenario per simulation.

  • Usage safeguards: Simulations are capped at 24 hours runtime to prevent continuous unattended use.

2.4 Subject to the terms of the Agreement, Licensor may monitor and track Customer’s compute usage in respect of the Service for the purpose of assessing Customer’s and End Users’ compliance with section 2.3 above.

2.5 If Customer and/or any of its End Users breaches these Fair Usage Terms, Licensor is entitled to issue Customer with warnings, suspend and/or terminate access to the Service, and/or charge Customer for utilisation of the Service that exceeds the Assumptions at Licensor’s prevailing applicable cost rate/s.

2.6 Licensor may amend these Fair Usage Terms at any time by posting the amended version of these Fair Usage Terms on Licensor’s website or making those terms available through the Service. Any amended version of these Fair Usage Terms will only apply to Subscription Terms following the date of the amendment to these Fair Usage Terms.
